Antitrust and Merger Control in the U.S.

There has been significant speculation regarding potential changes in the U.S. government’s approach to antitrust enforcement and merger clearance throughout this year. In the first quarter, antitrust agencies concluded three significant merger investigations, challenging those transactions, while at least 50% of publicly disclosed Second Request investigations that concluded in the first quarter closed without any formal enforcement action. This compares to a total of 17 significant investigations in 2024, with 14 resulting in enforcement action or abandonment. Early year-over-year comparisons suggest a potential move toward fewer significant investigations and fewer investigations ending with complaints or abandonments.
